By accessing the Website or engaging Siam Arai for services, you confirm that you have read, understood, and agree to these Terms and Conditions. If you are engaging on behalf of an organization, you represent that you have the authority to bind that organization to this Agreement.

Use of the Website and participation in our services is limited to individuals and organizations with full legal capacity under Thai law. Our services are directed at business professionals and organizations. The minimum age for engagement is 20 years (the age of majority in Thailand).

All Content published on the Website — including text, design, methodology descriptions, and structure — remains the intellectual property of Siam Arai unless otherwise stated.

Deliverables produced during a client engagement (such as workflow documents, operating model documents, and capability curricula) are provided to the client for their internal organizational use. Siam Arai retains the right to use the underlying methodologies, frameworks, and approaches in future work with other clients.

Clients may not resell, sublicense, or publicly distribute Siam Arai deliverables without prior written consent.

6. Payment Terms

Fees for all programs are denominated in Thai Baht (฿) and are as published on the Website at the time of engagement. Payment terms are agreed in the engagement scope document and typically include:

Accepted payment methods include Thai bank transfer and other methods confirmed in writing at time of engagement. Siam Arai reserves the right to pause work where payment is materially overdue.

Refund policy for services: If Siam Arai is unable to deliver an agreed engagement due to circumstances within our control, any unused prepaid fees will be refunded. If a client withdraws from an engagement after work has commenced, fees corresponding to work already delivered are non-refundable.

7. Engagement-Specific Terms

Each engagement is governed by a written scope document agreed before work begins. The scope document defines deliverables, timeline, success indicators, and any client responsibilities. In the event of any inconsistency between these Terms and the signed scope document, the scope document takes precedence for that engagement.

Changes to an agreed scope require written agreement from both parties. Siam Arai will advise on any impact to timeline or fees before change is confirmed.

Siam Arai provides advisory services based on current knowledge, the information provided by the client, and reasonable professional judgment. We do not warrant that:

Advisory services are provided for informational and strategic planning purposes. They do not constitute legal, financial, or technical implementation services unless explicitly stated in a scope document.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Siam Arai's total liability to any client for any claim arising from or related to an engagement shall not exceed the fees paid for that specific engagement.

Siam Arai shall not be liable for indirect, consequential, incidental, or special damages including loss of revenue, loss of data, or business interruption, even if advised of the possibility of such damages.

These limitations do not apply to liability arising from fraud, gross negligence, or death or personal injury caused by Siam Arai's negligence.

10. Confidentiality

Siam Arai treats all client information shared during engagements as strictly confidential. We will not disclose client-specific information to third parties without prior written consent, except where required by law.

Clients are requested to treat Siam Arai's proprietary methodologies, frameworks, and unpublished approaches as confidential.

Confidentiality obligations survive the termination of any engagement for a period of three years.

11. Indemnification

You agree to indemnify and hold harmless Siam Arai and its team members from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Website or Services in breach of these Terms, or from inaccurate information you provided during an engagement.

Either party may terminate an engagement by written notice if the other party materially breaches the Agreement and fails to remedy that breach within 14 calendar days of written notice.

Siam Arai may suspend or terminate Website access where a user is found to be using the Website in breach of these Terms.

Upon termination: all fees for work completed to date remain payable; confidentiality obligations survive; and intellectual property rights revert to their respective owners as set out in Section 5.

13. Dispute Resolution

Both parties agree to first attempt to resolve any dispute through good-faith discussion within 30 days of written notice of the dispute.

If informal resolution is not achieved, disputes shall be subject to the jurisdiction of the courts of Thailand, and these Terms shall be governed by and construed in accordance with the laws of the Kingdom of Thailand.

Siam Arai may update these Terms and Conditions from time to time. Updates will be reflected in the "Last Updated" date above. Continued use of the Website or Services after changes are posted constitutes acceptance of the revised Terms. For active engagements, material changes will be communicated directly in writing.
